Dissolution of limited liability company(LLC) in Poland

The dissolution of LLC in Poland may be caused by:

• reasons provided for in the company contract;
• resolution of shareholders on termination of the company or on the transfer of the registered office of the company abroad;
• bankruptcy;
• other reasons provided by the law.
  

Apart from the aforementioned cases, the court may decide to dissolve the company:

• at the request of a shareholder or a member of a company body if the purpose of the company has become impossible or if other important causes of the company have occurred;
• at the request specified in a separate law by the state authority, if the activity of the company threatens the public interest.
  

The dissolution of LLC in Poland occurs after liquidation, once the company has been removed from the register.
